Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NxtSale browser extension, dashboard, and related services (the "Service") provided by NxtStop LLC ("NxtStop," "we," "us," or "our"). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

The Service is a browser extension and dashboard that automates the tracking of live sales activity on platforms such as Whatnot. It observes your active livestream, extracts sales-related information using AI vision technology and (where you enable it) audio detection, and records that information into destinations you configure, such as your NxtSale dashboard and optionally a Google Sheet. The Service is provided as a business tool to sellers and is intended for use in connection with your own selling activity. The Service is an independent tool and is not affiliated with or endorsed by Whatnot Inc. or any other marketplace.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent that you meet these requirements and that you are using the Service in the course of a business.

3. Accounts and Onboarding

Certain features require you to complete an onboarding process and connect third-party accounts, such as Google, so the Service can write to your spreadsheets or sync to your NxtSale workspace. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, including teammates you invite. Notify us promptly of any unauthorized use.

4. Fees

Access to the Service is provided on a subscription basis at the rate shown at checkout or agreed in your order. Unless otherwise agreed in writing:

• Paid plans are billed monthly through Stripe (or as otherwise stated at checkout).
• Routine bug fixes are included in your subscription.
• Major changes, custom development, or feature work requested by you may be billed separately at our then-current rates.

Fees are non-refundable except where required by law or expressly agreed in writing. Canceling stops future renewals; access continues through the end of the paid or trial period already purchased. We may change our fees on reasonable notice, effective at your next billing cycle.

5. Your Responsibilities and Acceptable Use

You agree that you will:

• Use the Service only for lawful business purposes and in compliance with these Terms.
• Comply with Whatnot's, Google's, and any other applicable third-party terms of service when using the Service in connection with those platforms.
• Only track streams and sales activity that you own or are authorized to track.

You agree that you will not:

• Reverse engineer, decompile, resell, sublicense, or create derivative works of the Service without our written permission.
• Use the Service to infringe the rights of any third party or to collect data you are not authorized to collect.
• Interfere with or disrupt the integrity or performance of the Service.
• Share extension connection keys outside your organization.

6. Third-Party Platforms

The Service interoperates with third-party platforms and services, including Whatnot, Google, Stripe, and AI providers used to process vision and audio data. We do not control those platforms, and your use of them is governed by their own terms and policies. We are not responsible for changes those platforms make that affect the Service, including changes to their interfaces, APIs, or policies.

7. Intellectual Property

The Service, including all software, design, and underlying technology, is owned by NxtStop LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term solely for your internal business purposes. The data you generate through your use of the Service (such as your sales records) belongs to you.

8. Confidentiality

Each party may have access to the other's confidential information. Both parties agree to protect such information and use it only for purposes of the Service. This does not apply to information that is public, independently developed, or lawfully obtained from another source.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Because the Service relies on AI-based detection of live audio and video, we do not warrant that sales tracking will be complete, accurate, or error-free. You are responsible for reviewing and verifying the data the Service records before relying on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXTSTOP LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless NxtStop LLC from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights or platform terms.

12. Term and Termination

These Terms remain in effect while you use the Service. You may stop using and uninstall the Service at any time. We may suspend or terminate your access if you breach these Terms or fail to pay fees when due. Upon termination, your license to use the Service ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New Jersey, and you consent to their jurisdiction.
